CORPORATE GOVERNANCE
Troax overall objective is to create long-term value for its shareholders and other stakeholders.
This requires effective corporate governance with an appropriate organizational structure, systems for internal control and risk management.
Troax Group AB (publ) is a Swedish public limited liability company, listed on the Nasdaq Stockholm since 27 March 2015 and is after that applying to the Swedish Code of Corporate Governance.
The Code applies to all Swedish companies with shares listed on a regulated market in Sweden and shall be fully applied from the first annual shareholders meeting held the year following the listing. The Company is not obliged to comply with every rule in the Code as the Code itself provides for the possibility to deviate from the rules, provided that any such deviations and the chosen alternative solutions are described and the reasons therefore are explained in the corporate governance report (the so-called “company or explain principle”).
Troax corporate governance is based on external and internal regulatory frameworks, including Troax´s Articles of Association, the Swedish Companies Act, The Nasdaq Stockholm Rule Book for Issuers as well as the Swedish Code of Corporate Governance.
